Wheels Group Announces Move to Become a Canadian Publicly Traded Company and Addition of Synergex Logistics

Toronto, Canada - July 15, 2011 We are pleased to announce that the Wheels Group has initiated the process to become a Canadian publicly traded company as the next step in our future growth plans. Access to public financing will provide strength for our organization to fund future investment and expansion capabilities as well as capital for strategic acquisitions to drive greater value for our customers, employees, business partners and shareholders.

In addition, we are pleased to announce that Synergex Logistics, a leading Canadian provider of high value fulfillment, warehousing and distribution services, will be merged into Wheels as part of the new public entity. The Wheels Group, as the major shareholder, will manage the combined 3PL entity to leverage the strengths of both organizations going forward.

Wheels Group, with its two operating divisions Wheels International and Clipper Group, is a leading North American non / light asset 3PL which has grown organically and through acquisition. Since inception, it has evolved into a full service provider of supply chain solutions and multi mode transportation management with offices throughout Canada and the United States.

Wheels International Freight Systems Inc., founded in 1988 in Toronto, Canada as a private company, provides non-asset transportation and supply chain solution services to their North American customers.

Clipper Group, founded in 1938 in Chicago, United States, offers services including rail, highway and refrigerated transportation. Clipper Group joined Wheels in 2006.

Wheels Group has been named one of Canada’s 50 Best Managed Companies (Platinum status) since 1997. The operating division Wheels Clipper has been named one of North America’s Top 100 3PL’s, one of the Top 85 Food 3PL’s and one of the Top Five IMC’s (intermodal marketing companies).

The process and approval to move from private to public ownership will not impact the operating divisions of Wheels, Clipper or Synergex which will continue to focus on customer excellence.
